The legal terms governing your use of Touswit.

Effective Date: March 19, 2026. These Terms of Service govern your use of Touswit's money transmission services. By using our services, you agree to these terms. Please read them carefully.

1. Acceptance of Terms

These Terms of Service constitute a legally binding agreement between you and Touswit, Inc. governing your access to and use of our money transmission services. By creating an account, accessing our website, or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services. We reserve the right to modify these Terms at any time, and your continued use of our services after such modifications constitutes acceptance of the updated Terms.

2. Eligibility Requirements

To use Touswit services, you must: (a) Be at least 18 years of age; (b) Be a legal resident of the United States with a valid U.S. address; (c) Possess a valid government-issued photo identification document (driver's license, passport, or state ID); (d) Have a valid U.S.-issued payment method (debit card, credit card, or bank account); (e) Provide accurate, current, and complete information during registration and maintain the accuracy of such information; (f) Not be listed on any U.S. government list of prohibited or restricted parties, including the OFAC Specially Designated Nationals list; and (g) Comply with all applicable laws and regulations. We reserve the right to refuse service to anyone at our sole discretion.

3. Description of Services

Touswit provides money transmission services enabling customers in the United States to send funds to recipients in Haiti. Our services include: (a) Transfers to mobile wallet providers (MonCash, Natcash) in Haiti; (b) Direct payments to educational institutions in Haiti; (c) Business-to-business payments; and (d) Related customer support and account management services. Service availability may vary based on regulatory requirements, partner capabilities, and operational considerations. We do not guarantee that all services will be available at all times or in all locations. We reserve the right to modify, suspend, or discontinue any service at any time with or without notice.

4. Account Registration and Security

You must create an account to use our services. You agree to: (a) Provide accurate, truthful, and complete information during registration; (b) Maintain and promptly update your account information; (c) Keep your login credentials confidential and not share them with third parties; (d) Notify us immediately of any unauthorized access to or use of your account; (e) Be solely responsible for all activities conducted through your account; and (f) Comply with our identity verification procedures, including providing government-issued identification and additional documentation as requested. You may not create multiple accounts or allow others to use your account. We reserve the right to suspend or terminate accounts that violate these Terms or engage in suspicious activity.

5. Fees, Charges, and Payment

You agree to pay all fees associated with your use of our services. Fees are clearly displayed before you complete each transaction and include: (a) Transaction fees calculated as a percentage of the transfer amount; (b) Exchange rate conversions where applicable; and (c) Any applicable taxes. The total amount you will be charged, including all fees, is shown before you confirm the transaction. All fees are non-refundable except as specifically provided in these Terms or required by law. We reserve the right to change our fee structure at any time with advance notice. Payment is processed through secure third-party payment processors, and you authorize us to charge your designated payment method for all fees incurred.

6. Money Transfer Process and Timing

When you initiate a money transfer: (a) You authorize us to debit your payment method for the total amount including fees; (b) We will process your transfer in accordance with the timeline displayed at the time of transaction, typically within seconds for mobile wallet transfers; (c) Actual delivery time may vary based on recipient method, partner processing times, technical issues, or circumstances beyond our control; (d) We will provide you with a transaction confirmation including a unique transaction ID; and (e) You may track the status of your transfer through your account dashboard. We are not responsible for delays caused by recipient banks, mobile wallet providers, educational institutions, or factors outside our control including network outages, natural disasters, or government actions.

7. Cancellation, Refunds, and Errors

Cancellation and refund policies: (a) You may cancel a transfer within 30 minutes of initiation if it has not yet been processed for delivery; (b) Once a transfer is in process or completed, cancellation is not possible; (c) To request cancellation, contact us immediately at hello@touswit.com with your transaction ID; (d) Refunds for canceled transactions will be processed to your original payment method within 3-5 business days; (e) If a transfer fails due to an error on our part (incorrect amount sent, wrong recipient, technical failure), we will provide a full refund including all fees within 48 hours of confirmation; (f) If you send money to the wrong recipient due to your own error, we cannot guarantee recovery of funds; (g) You must report errors or unauthorized transactions within 180 days of the transaction date; and (h) Our maximum liability is limited to the amount of the specific transaction in question.

8. Prohibited Uses and Activities

You may not use our services for any illegal or unauthorized purpose. Prohibited activities include but are not limited to: (a) Money laundering or terrorist financing; (b) Fraud, including providing false information or impersonating others; (c) Transactions involving illegal goods or services; (d) Violations of export controls, economic sanctions, or embargoes; (e) Gambling or gaming activities where prohibited by law; (f) Circumventing our fees or transaction limits; (g) Using our services in a manner that violates any applicable federal, state, or local law; (h) Interfering with or disrupting the integrity or performance of our services; (i) Attempting to gain unauthorized access to our systems or networks; or (j) Assisting others in any of the foregoing activities. We reserve the right to suspend or terminate your account, report suspicious activity to law enforcement, and cooperate with investigations.

9. Compliance and Verification

As a licensed money transmitter, we are required to comply with federal and state anti-money laundering (AML) and counter-terrorism financing (CTF) regulations. You agree to: (a) Provide accurate identity verification information including government-issued ID; (b) Respond promptly to requests for additional documentation or information; (c) Cooperate with compliance reviews and investigations; (d) Acknowledge that we may verify your information with third-party databases and identity verification services; (e) Understand that we monitor transactions for suspicious activity and may file Suspicious Activity Reports (SARs) with FinCEN; (f) Accept that certain transactions may be delayed or rejected based on compliance screening; and (g) Understand that we maintain records of all transactions as required by law. Failure to provide requested information may result in suspension or termination of your account.

10. Limitation of Liability and Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) Our total liability for any claim arising out of or relating to these Terms or our services is limited to the amount of the specific transaction giving rise to the claim; (b) We are not liable for indirect, incidental, special, consequential, or punitive damages including lost profits, lost data, or business interruption; (c) We provide our services 'AS IS' and 'AS AVAILABLE' without warranties of any kind, express or implied; (d) We do not warrant that our services will be uninterrupted, error-free, or secure; (e) We are not responsible for delays or failures caused by factors beyond our reasonable control; (f) We are not liable for the actions or omissions of third-party service providers including payment processors or partner institutions in Haiti; and (g) Some jurisdictions do not allow limitation of implied warranties or liability for incidental or consequential damages, so the above limitations may not apply to you.

11. Dispute Resolution and Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or our services shall be resolved as follows: (a) Informal Resolution: You agree to first contact us at hello@touswit.com to attempt to resolve the dispute informally; (b) Binding Arbitration: If informal resolution fails, disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules; (c) Arbitration shall be conducted in Miami, Florida; (d) The arbitrator's decision shall be final and binding; (e) You waive your right to participate in class action lawsuits or class-wide arbitration; (f) Each party shall bear its own costs and attorneys' fees unless otherwise awarded by the arbitrator; and (g) This arbitration agreement does not preclude either party from seeking injunctive relief in court to prevent irreparable harm. By using our services, you waive your right to a jury trial.

12. Account Termination and Suspension

We may suspend or terminate your account and access to our services: (a) Immediately for violation of these Terms; (b) For suspicious or fraudulent activity; (c) If required by law or regulatory authority; (d) If you provide false or misleading information; (e) If your account remains inactive for an extended period; or (f) For any reason at our sole discretion with or without notice. Upon termination: (a) You must cease all use of our services; (b) Outstanding transactions will be processed or refunded as appropriate; (c) We may retain your information as required by law; and (d) Provisions of these Terms that by their nature should survive termination shall continue in effect. You may close your account at any time by contacting us at hello@touswit.com.

13. Intellectual Property Rights

All content, features, and functionality of our services, including but not limited to text, graphics, logos, icons, images, software, and user interface design, are owned by Touswit or our licensors and are protected by U.S. and international copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use our services for personal, non-commercial purposes. You may not: (a) Copy, modify, distribute, or create derivative works from our content; (b) Reverse engineer, decompile, or disassemble our software; (c) Use our trademarks or branding without written permission; (d) Frame or mirror any content from our website; or (e) Use automated systems to scrape or extract data from our services.

14. Indemnification

You agree to indemnify, defend, and hold harmless Touswit, its officers, directors, employees, agents, and partners from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to: (a) Your use of our services; (b) Your violation of these Terms; (c) Your violation of any law or regulation; (d) Your violation of any rights of third parties; (e) Any false or misleading information you provide; or (f) Any unauthorized or fraudulent transactions conducted through your account. This indemnification obligation survives termination of these Terms and your use of our services.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will: (a) Post the updated Terms on our website with a new 'Last Updated' date; (b) Send an email notification to the address associated with your account; and (c) Require your acceptance of the new Terms before you can continue using our services. Your continued use of our services after the effective date of the updated Terms constitutes your acceptance. If you do not agree to the modified Terms, you must stop using our services and may close your account.

16. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Florida and applicable federal laws of the United States, without regard to conflict of law principles. Subject to the arbitration provisions in Section 11, you agree to submit to the exclusive jurisdiction of the state and federal courts located in Miami-Dade County, Florida for resolution of any disputes. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

17. Miscellaneous Provisions

Additional terms: (a) Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect; (b) Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision; (c) Assignment: You may not assign or transfer these Terms or your account without our written consent. We may assign our rights and obligations without restriction; (d) Entire Agreement: These Terms, along with our Privacy Policy, constitute the entire agreement between you and Touswit regarding our services; (e) Force Majeure: We are not liable for delays or failures caused by circumstances beyond our reasonable control; and (f) Survival: Provisions that by their nature should survive termination shall continue in effect.
